These Terms of Use ('Terms') form a binding agreement between you and Inspirelabs Solutions Ltd., operating as GrabOn Canada ('GrabOn Canada,' 'we,' 'us'), governing your access to and use of the GrabOn Canada website and related digital services (the 'Platform').

By accessing the Platform, you confirm that you are of legal age to form a binding agreement in your province or territory of residence and that you will use the Platform in compliance with all applicable federal, provincial, and territorial laws.

GrabOn Canada is a coupon aggregation and deals discovery platform. We curate, display, and link to promotional offers from third-party merchants.

We do not sell products or services, process payments, fulfil orders, or act as an agent for any merchant. All purchase transactions occur on third-party merchant websites and are governed exclusively by those merchants' own terms, pricing, return policies, and customer service processes.

GrabOn Canada participates in affiliate and partner programmes. When you click a deal link and complete a qualifying action (such as a purchase) on a merchant's website, GrabOn Canada may earn a commission from the merchant or an affiliate network.

This commission structure does not increase the price you pay. The deal terms, including pricing and discount value, are set and honoured by the merchant.

In accordance with the Competition Act (R.S.C., 1985, c. C-34) and the Competition Bureau's guidance on digital marketing disclosures, we disclose that commercial relationships exist between GrabOn Canada and listed merchants. Not all merchants listed on the Platform are affiliate partners; some offers are sourced from publicly available promotions.

• Use automated tools, bots, scrapers, or data-mining methods on any part of the Platform.
• Copy, reproduce, reverse engineer, or exploit any part of the Platform without our prior written consent.
• Interfere with or disrupt the Platform's security, servers, or functionality.
• Use the Platform to mislead, harm, or defraud others.
• Upload or transmit any content that is unlawful, defamatory, obscene, or otherwise objectionable.

We reserve the right to restrict or terminate access for any violation of these Terms.

We make reasonable efforts to keep deal information current. However, all offers displayed on the Platform are informational. We do not guarantee that any coupon code, discount, or promotion will be valid, functional, or available at the time you attempt to use it.

Final pricing, product availability, and promotional terms are determined by the merchant and may change without notice. Where an offer displayed on the Platform conflicts with the terms on the merchant's website, the merchant's terms govern.

You agree not to:

• Use automated tools, bots, crawlers, scrapers, or data-mining methods to access, index, or extract content from the Platform.
• Copy, reproduce, adapt, reverse-engineer, or commercially exploit any part of the Platform without our prior written consent.
• Interfere with or attempt to compromise the security, availability, or performance of the Platform's infrastructure.
• Use the Platform to engage in any activity that is fraudulent, misleading, defamatory, or otherwise unlawful under federal, provincial, or territorial law.
• Upload or transmit content that infringes intellectual property rights or violates any applicable law.

We reserve the right to restrict, suspend, or terminate access to the Platform for any user who violates these Terms, without prior notice.

The Platform contains outbound links to websites operated by third-party merchants and partners. GrabOn Canada does not control, endorse, or assume responsibility for the content, products, services, privacy practices, or terms of any third-party website.

Your use of any linked third-party website is at your own risk. We recommend reviewing the terms of use and privacy policy of each merchant website before completing a transaction or submitting personal information.

All content on the Platform, including text, graphics, logos, trademarks, page layout, design elements, and underlying software, is the property of GrabOn Canada or its licensors. This content is protected under the Copyright Act (R.S.C., 1985, c. C-42), the Trademarks Act (R.S.C., 1985, c. T-13), and other applicable intellectual property laws.

You may access and use the Platform for personal, non-commercial purposes only. Any reproduction, modification, distribution, public display, or creation of derivative works from Platform content requires our prior written consent.

Our collection, use, and disclosure of personal information is governed by our Privacy Policy and complies with the Personal Information Protection and Electronic Documents Act (S.C. 2000, c. 5) ('PIPEDA'), and where applicable, substantially similar provincial privacy legislation including Alberta's Personal Information Protection Act, British Columbia's Personal Information Protection Act, and Quebec's Act Respecting the Protection of Personal Information in the Private Sector.

By using the Platform, you acknowledge that you have reviewed our Privacy Policy.

Where GrabOn Canada sends commercial electronic messages, we comply with Canada's Anti-Spam Legislation (S.C. 2010, c. 23) ('CASL'). We will obtain your express or implied consent before sending commercial electronic messages, provide clear sender identification, and include a functional unsubscribe mechanism in every message.

The Platform, including all content, deals, links, and services, is provided on an 'as is' and 'as available' basis. GrabOn Canada makes no representations or warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

We do not warrant that the Platform will be free from errors, security vulnerabilities, or harmful components, or that any deal or link will be accurate, current, or reliable at any given time.

To the maximum extent permitted by applicable Canadian federal and provincial law, GrabOn Canada, its directors, officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Platform, including but not limited to loss of data, revenue, business opportunities, or goodwill.

This limitation applies regardless of whether the claim is based in contract, tort, negligence, strict liability, or any other legal theory, and whether or not GrabOn Canada has been advised of the possibility of such damages.

Nothing in these Terms limits, excludes, or modifies any rights you hold under applicable Canadian consumer protection legislation, including but not limited to:

• Consumer Protection Act, 2002 (Ontario)
• Business Practices and Consumer Protection Act (British Columbia)
• Consumer Protection Act (Quebec), including its provisions governing distance contracts and language requirements
• Consumer Protection and Business Practices Act (Saskatchewan)
• Consumer Protection Act (Alberta)
• Equivalent legislation in other provinces and territories

Where any provision of these Terms conflicts with a mandatory statutory right, the statutory right prevails.

For users resident in Quebec: where these Terms are made available in both English and French and there is a discrepancy, the French version governs to the extent required by Quebec law.

You agree to indemnify and hold harmless GrabOn Canada, its directors, officers, employees, and affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party right.

We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. Your continued use of the Platform after any modification constitutes acceptance of the revised Terms.

For material changes that substantively affect your rights or obligations, we will make reasonable efforts to provide advance notice to registered users.

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.

Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the Province of Ontario. However, if you reside in a province or territory where applicable consumer protection legislation grants you the right to bring proceedings in your local jurisdiction, that right is preserved.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
